Terms of Service

These Terms of Service ("Terms") govern your use of Clawshift ("Service"), operated by Dennis Rolea, Weil am Rhein, Germany ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. Service Description

Clawshift provides managed AI agent hosting. We deploy and maintain AI agents on your behalf that connect to messaging platforms and tools. The AI agents use third-party language models (including but not limited to Anthropic Claude, OpenAI GPT, Google Gemini, Mistral, and Meta Llama) via API.

2. Account Registration

You must provide accurate and complete information when creating an account.
You are responsible for maintaining the security of your account credentials.
You must be at least 18 years old or the age of majority in your jurisdiction.
One person or entity may not maintain more than one account.

3. Subscription Plans & Billing

3.1 Plans

We offer three subscription tiers: Starter (€50/month), Pro (€100/month), and Business (€200/month). Each plan includes a monthly token allocation and access to specific AI models as described on our pricing page.

3.2 Billing

Subscriptions are billed monthly in advance via Stripe.
Payment is charged immediately upon plan selection.
Subscriptions automatically renew each month unless cancelled.
All prices are in Euros (€) and include applicable VAT where required.

3.3 Token Allocation

Each plan includes a fixed monthly token budget. Tokens are consumed by AI model usage.
Unused tokens do not roll over to the next billing period.
Token usage is the same regardless of which AI model is selected — the model does not affect token consumption, only the available model selection varies by tier.
Additional token packs may be purchased separately when available.

3.4 Plan Changes

You may upgrade or downgrade your plan at any time.
Upgrades take effect immediately. Downgrades take effect at the next billing cycle.

4. Right of Withdrawal (Widerrufsrecht)

Important: As a consumer within the European Union, you have the right to withdraw from this contract within 14 days without giving any reason.

4.1 Withdrawal Period

The withdrawal period is 14 days from the date of contract conclusion (the date you subscribe to a plan). To exercise your right of withdrawal, you must inform us of your decision by a clear statement (e.g., email to [email protected]).

4.2 Consent to Immediate Service Delivery

By subscribing, you expressly request that we begin providing the Service immediately. You acknowledge that by doing so, you will lose your right of withdrawal once the Service has been fully performed. If you withdraw before the Service is fully performed, you shall pay us an amount proportional to the Service provided up to the time of withdrawal.

4.3 Proportional Charges on Withdrawal

In accordance with Article 14(3) of the EU Consumer Rights Directive (2011/83/EU) and §357(8) BGB (German Civil Code), if you exercise your right of withdrawal after having used the Service, the following deductions apply:

Proportional subscription fee: Calculated as (days used ÷ 30) × monthly plan price.
Actual AI usage costs: The actual cost of AI model usage consumed during the period, as tracked by our system. This reflects real third-party API costs incurred on your behalf.
Infrastructure costs: Proportional compute, storage, and networking costs provisioned for your account during the usage period.
Payment processing fees: Non-refundable transaction fees charged by our payment processor (Stripe) for the original payment and refund processing.
The refund amount equals the payment made minus the sum of all costs above.

4.4 Withdrawal Form

To withdraw, send an email to [email protected] stating: "I hereby withdraw from my Clawshift subscription" along with your account email, name, and the date of subscription. We will process your refund within 14 days of receiving your withdrawal notice.

5. 14-Day Money-Back Guarantee

In addition to your statutory withdrawal rights, we offer a 14-day money-back guarantee. If you are not satisfied with the Service for any reason, contact us within 14 days of your subscription date for a refund. Refunds under this guarantee are subject to the same proportional usage deductions described in Section 4.3.

6. Cancellation

You may cancel your subscription at any time from your account dashboard or by contacting us.
Cancellation takes effect at the end of the current billing period.
Upon cancellation, your AI agent will be deactivated and your data will be retained for 30 days before deletion.
We do not provide prorated refunds for partial months beyond the 14-day withdrawal/guarantee period.

7. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations.
Generate, store, or distribute illegal, harmful, or abusive content.
Attempt to circumvent usage limits, billing, or security measures.
Resell or redistribute access to the Service without our written consent.
Use the Service to spam, harass, or send unsolicited communications.
Attempt to reverse-engineer, decompile, or extract source code from the Service.

8. Data Protection & Privacy

We process your data in accordance with our Privacy Policy and the EU General Data Protection Regulation (GDPR).
Your data is stored on servers located in the European Union (Finland).
We do not sell your data to third parties.
AI model providers (Anthropic, OpenAI, Google, Mistral, Meta) process your prompts and responses via their APIs. These providers do not use paid API data for model training.
Conversation data is encrypted at rest and in transit.

9. AI Model Disclaimer

AI-generated outputs may contain errors, inaccuracies, or biases. You are responsible for reviewing and verifying all outputs before acting on them.
We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any purpose.
Model availability may change. We reserve the right to add, remove, or replace AI models at any time.
Response quality and speed depend on the selected model and current third-party provider availability.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted service.
Planned maintenance will be communicated in advance where possible.
We are not liable for downtime caused by third-party providers, force majeure, or circumstances beyond our reasonable control.

11. Intellectual Property

You retain ownership of all content you create or input into the Service.
AI-generated outputs are provided under the terms of the respective model providers. We make no claim of ownership over AI-generated content.
The Clawshift brand, logo, and software are our intellectual property.

12. Limitation of Liability

To the maximum extent permitted by law:

Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages.
We are not liable for decisions made based on AI-generated outputs.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. For consumers within the EU, mandatory consumer protection laws of your country of residence apply in addition. Disputes shall be resolved in the courts of Freiburg im Breisgau, Germany, unless mandatory consumer protection law provides otherwise.
